How to incorporate a new ApS in Denmark

What is an Anpartsselskab (ApS)?

Anpartsselskab (ApS) is a private limited liability company. It is a popular business structure, and similar to an LLC in other countries, it offers protection to the owners of the ApS by limiting their personal liability for the company's debt and obligations.

Setting up a private limited company (ApS) in Denmark can be done online through a self-service portal. This portal requires a Danish social security number and eID (MitID). As a foreign national, you can use your local eID if approved by eIDAS.

1. Choose your company type and name

  • Go to the self-service portal.
  • Company type: Select "Anpartsselskab" (ApS), which is a private limited liability company.
  • Company name: The name must end with "ApS." Ensure your chosen name is unique by checking the Danish Business Registry. The name must not already be in use or infringe on existing trademarks.

2. Prepare incorporation documents

  • Memorandum of Association (Stiftelsesdokument)
  • Articles of Association (Vedtægter)
    • These documents must be in Danish if you use the official templates.
    • Templates are available from the Danish Business Authority.
  • Founder's details: Include names, addresses, and (if applicable) VAT numbers.
  • Share capital details: Specify the amount and method of payment (cash or non-cash assets).

3. Deposit share capital

  • Minimum capital: As of 2025, the minimum required share capital is DKK 20,000.
  • Deposit methods:
    • Cash: Deposit at a Danish bank, lawyer's client account, or via an auditor.
    • Non-cash assets: Must be independently valued and documented by a certified auditor.
  • At least 25% of the share capital and a minimum of DKK 20,000 must be documented for registration.

4. Register the company online

  • Platform: Register via the Danish Business Authority's self-service portal, "Start Company," available on virk.dk.
  • Identification: You need a Danish social security number (CPR) and MitID (Danish eID) or an approved foreign eID (eIDAS).
  • Upload documents: Attach the signed memorandum, articles of association, and proof of share capital deposit.
  • Registration fee: DKK 670 (as of 2025).

5. Obtain your CVR number

After successful registration, you will receive a CVR number (Central Business Registration number), which is your company's official ID in Denmark.

6. Register for VAT and tax

  • VAT registration: If your company will be trading goods or services, register for VAT at least 8 days before starting business activities.
  • Employer registration: If you plan to employ staff, register as an employer and ensure compliance with Danish tax and social security rules.

7. Set up digital requirements

  • MitID: Required for digital self-service.
  • Digital post: Set up an email inbox for official communications.
  • NemKonto: Establish a NemKonto (company bank account) to receive payments from public authorities.

8. Comply with ongoing obligations

  • Bookkeeping and reporting: Maintain proper accounting records and submit annual reports to the Danish Business Authority.
  • Health and safety: If you have employees, comply with Danish working environment rules and ensure mandatory insurance coverage.

Additional notes

  • Directors and shareholders: ApS can have one or more directors and shareholders who do not need to be Danish residents.
  • Language: Official documents for registration must be in Danish.
  • Processing time: Registration is typically completed within a few days if all documents are in order.
